Thank you for your interest in Conglex. This user agreement (the "Terms'') applies to anyone who registers for a Conglex Account and/or opens one through conglex.com or any affiliated mobile or online applications, websites, or APIs.

The agreement is a legally binding contract between you (the customer) and Conglex Limited ("Conglex" or "the company"), its affiliates, agents, and assigns (collectively, "the Company," "we," "us," or "our"), a company incorporated under the laws of the Republic of Kenya, that governs your access to and use of the Conglex platform (the "Platform"), Conglex products and services, as well as any other Conglex features, technologies, and/or capabilities available on our website, www.conglex.com ("Website"), on the Conglex app ("the platform").

You unreservedly accept these Terms and agree to be bound by and act in accordance with them by registering for and activating a Conglex Account. You also accept and agree that you are solely responsible for understanding and complying with all laws, rules, regulations, and requirements of the jurisdiction in which you live that may apply to your use of the Conglex website and/or your Conglex Account, including but not limited to taxes and foreign currency transactions.

Before using the Platform, please read these Terms carefully because they affect your legal rights and obligations.

Modification of this Agreement

Conglex retains the right to update this Agreement at any time and will notify you by publishing the amended Agreement on the Website. You should check this Agreement on the Website for updates on a regular basis. All changes will take effect immediately after they are posted, and the "last updated" date will be updated as well. You agree to be bound by any changes to this Agreement if you continue to use the Website or Services after they are made. Conglex reserves the right, in its sole discretion, to cancel, suspend, alter, or restrict access to all or any portion of the Website or Services at any time and without warning or liability.

Account Opening and Registration

To access the Services, you must create an account on the Conglex Platform (“Conglex Account”), you are obliged to provide accurate and complete registration information as required to be a user on the platform. It is your responsibility to update and maintain any changes to that information by altering your details as appropriate. You further represent that you are authorized to provide us with all User Information and other information you provide to us to facilitate your use of the Website and Services. After registration, you must ensure that the information you provide is accurate, complete and updated on time when it changes. Conglex reserves the right to terminate all or part of the services we provide for you if there are any grounds for believing that any of the information you provided is incorrect or incomplete after a notice to demand correction or delete the relevant information has been sent.

Eligibility

By registering for a Conglex Account, you indicate and warrant that:

  • You are at least 18 years old or the legal age to make a binding contract in your jurisdiction.
  • You have the legal power and sufficient authorisations to enter these Terms as an individual, legal person, or other organization.
  • You will not open, or attempt to open, a Conglex Account in anyone else's name, or use your Conglex Account to conduct transactions on someone else's behalf.
  • You agree to provide accurate, current, and complete information—such as your legal name, your company name if opening a business account, a physical mailing address and a P.O. Box (for businesses only), a personal and/or business cellular/wireless telephone number that you own, and a business email address—as may be prompted during account registration, in connection with your use of the Services, or as otherwise requested by Conglex—as may be prompted during account registration.
  • Assume you're a legal entity's employee or agent, and you agree to these conditions on their behalf. You represent and warrant that you have all essential rights and authorizations to bind such a legal entity in that circumstance.
  • Conglex Services will not be used by you in violation of any applicable laws and regulations, including but not limited to anti-money laundering, anti-corruption, and counter-terrorist financing laws and regulations.

Consent to Electronic Communications

Conglex will provide any notices relating to your account or your use of our service on the service or by mailing them to the email address provided by you. You consent to receive all notices electronically.

You have the hardware and software to access, receive and save notices sent to you electronically.  All information provided to us is valid and up to date.  Any notification sent to the email address provided by you will be deemed received once we send it.

Risk

Digital currency trading entails a high level of risk. On any given day, prices can and do change. You could see a gain or decrease in the value of your assets at any time due to price movements. Any currency, virtual or otherwise, is susceptible to huge price swings and may even become worthless. Because cryptocurrency trading involves unique dangers not shared by official currencies, goods, or commodities in a market, there is an inherent risk of losses as a result of buying, selling, or trading anything on a market.

Limited Right of Use

All Materials on this Site, unless otherwise stated, are Conglex's property and are protected by copyright, trademark, and other applicable laws. You may read, print, and/or download a copy of the Materials from this Site on a single computer for your personal, non-commercial use, as long as all copyright and other proprietary notices are preserved. Conglex and other trademarks, service marks, and logos used on this Site are owned by Conglex and their respective owners. Conglex owns the software, text, photos, graphics, data, prices, trades, charts, graphs, video, and audio on this Site. In any form or by any means, whether manual or automatic, the Trademarks and Material should not be copied, reproduced, modified, republished, uploaded, posted, transmitted, scraped, collected, or disseminated. Any unlawful use of such Materials on another site or in a networked computer environment for any other purpose is strictly prohibited; such unauthorized use may violate copyright, trademark, and other applicable laws, and may result in criminal or civil penalties.

User Identity Verification

When you create an account with Conglex, you agree to supply the necessary personal information for identification verification. Such information will be used to verify Users' identities, detect money laundering, terrorist funding, fraud, and other financial crimes through Conglex, and for other authorized purposes mentioned by Conglex. Such information will be collected, used, and shared in accordance with our Privacy Policy. In addition to supplying such information, you agree to allow us to keep a record of it for as long as your account is active and for a period of five (5) years after it is closed, in accordance with worldwide industry data storage standards.

You also give us permission to conduct appropriate investigations, either directly or through a third party, to authenticate your identification or to safeguard you and/or us from financial crimes like fraud. Your name, email address, contact information, phone number, username, government-issued ID, date of birth, and other information obtained during account registration are examples of the information we require to authenticate your identity. You confirm that the information you provide is truthful and accurate when you submit it.

Conglex Services

You may use various Conglex Services, including but not limited to, Crypto-to-crypto Trading, Fiat deposit and withdrawal, crypto deposit and withdrawal, Crypto4fiat, Transaction history, Loans, Merchant payments, P2P marketplace, acquiring market-related data, research, and other information released by Conglex, participating in User activities held by Conglex, and so on, after completing the registration and identity verification for your Conglex Account (including Conglex  Rules and other individual agreements).

Conglex reserves the right to:

  • Provide, change, or cancel any Conglex Services at any time in accordance with its development plan; and
  • Allow or ban some Users from using any Conglex Services in accordance with relevant Conglex Rules.

Fees

Conglex charges network fees (miner fees) to process a Digital Currency transaction on your behalf and processing fee for fiat related transactions. Conglex will calculate the network fee at its discretion, although Conglex will always notify you of the network fee at or before the time you authorize the transaction.

Prohibited Activities

You must not use your Conglex Account to engage in any of the following activities or categories of activity (each specified as a "Prohibited Activity"):

  • Violation of any laws, statutes, ordinances, or regulations have been broken.
  • Taking part in, aiding, or assisting any type of criminal conduct, including but not limited to money laundering, terrorist financing, unlawful gambling, or malicious hacking.
  • Abusive behavior, such as putting an unreasonable or disproportionately significant strain on Conglex infrastructure or otherwise acting in a way that could harm the performance of the Conglex Site or the reputation of Conglex.
  • Unauthorized access to the Conglex Site or any Conglex Account.
  • Using the Conglex Site to send or upload any material that contains viruses, Trojan horses, worms, or other harmful software.
  • Transferring your Conglex Account access or rights to a third party, unless otherwise authorized by law or with Conglex prior agreement.
  • Fraudulent activity includes, but is not limited to, defrauding Conglex or a Conglex customer, or providing Conglex with false, inaccurate, or misleading information.
  • Transactions involving commodities that aid in the facilitation or facilitation of unlawful behavior; encourage or facilitate hate, violence, or racial intolerance; or are stolen goods or the proceeds of crime are considered obscene.
  • Infringement of intellectual property rights.
  • Adult Content and Services: Pornography and other obscene materials (including literature, imagery and other media); sites offering any sexually related services such as prostitution, escorts, pay-per-view, adult live chat features.
  • Unfair, predatory or deceptive practices: Investment opportunities or other services that promise high rewards; Sale or resale of a service without added benefit to the buyer; resale of government offerings without authorisation or added value; sites that we determine in our sole discretion to be unfair, deceptive, or predatory towards consumers.
  • High-risk businesses: any businesses that we believe poses an elevated financial risk, legal liability, or violate card network or bank policies.

By creating a Conglex Account, you agree not to use it for any of the Prohibited Activities specified above, or any other similar or related activity.

You must not use your Conglex account to store, send, request, or receive cash or Digital Currencies in any form that Conglex does not support. Conglex disclaims all responsibility and liability for any attempt to utilize Conglex Services with a currency that Conglex does not support.

Third Party Disclaimer

Our Service may contain connections to sites that are not under our control. It's possible that clicking on a third-party link will take you to that third-website. party's Every site you visit should have a Privacy Policy that you should read. We have no control over, and accept no responsibility for, the content, privacy policies, or practices of any third-party sites or services. Any user's or third-identity party's is not guaranteed by us.

Account Closure

You may close your account(s) at any time if there are no pending or ongoing transactions or an investigation. You can close your account(s) by sending an email to support@conglex.com and requesting that we close your account. Your account(s) closure may take up to 30 days to complete.

Limitations to Account Closure

You may not close your account(s) to evade a payment investigation. If you attempt to close your account(s) while we are conducting an investigation, we may hold your funds for up to 180 days to protect the Company or a third party against the risk of reversals, chargebacks, claims, fees, fines, penalties and other liability. You will remain liable for all obligations related to your account(s) even after the account(s) is closed.

Miscellaneous

1. Independent Parties: Conglex is an independent contractor but not an agent of you in the performance of these Terms. These Terms shall not be interpreted as facts or evidence of an association, joint venture, partnership, or franchise between the parties.

2. Entire Agreement: These Terms constitute the entire agreement between the parties regarding use of Conglex Services and will supersede all prior written or oral agreements between the parties. No usage of trade or other regular practice or method of dealing between the parties will be used to modify, interpret, supplement, or alter the terms herein.

3. Interpretation and Revision: Conglex reserves the right to alter, revise, modify, and/or change these Terms at any time. All changes will take effect immediately upon being published on Conglex websites. It is your responsibility to regularly check relevant pages on our websites/applications to confirm the latest version of these Terms. If you do not agree to any such modifications, your only remedy is to terminate your usage of Conglex Services and cancel your account. You agree that, unless otherwise expressly provided in these Terms, Conglex will not be responsible for any modification or termination of Conglex Services by you or any third party, or suspension or termination of your access to Conglex Services.

4. Force Majeure: Conglex will not be liable for any delay or failure to perform as required by these Terms because of any cause or condition beyond Conglex reasonable control.

5. Severability: If any portion of these Terms is held invalid or unenforceable, such invalidity or enforceability will not affect the other provisions of these Terms, which will remain in full force and effect, and the invalid or unenforceable portion will be given effect to the greatest extent possible.

6. Assignment: You may not assign or transfer any right to use Conglex Services or any of your rights or obligations under these Terms without prior written consent from Conglex, including any right or obligation related to the enforcement of laws or the change of control. Conglex may assign or transfer any or all of its rights or obligations under these Terms, in whole or in part, without notice or obtaining your consent or approval.

7. Waiver. The failure of one party to require performance of any provision will not affect that party’s right to require performance at any time thereafter. At the same time, the waiver of one party to seek recovery for the other party’s violation of these Terms or any provision of applicable terms shall not constitute a waiver by that party of any subsequent breach or violation by the other party or of the provision itself.

8. English Language Controls: These terms and any information that you or we will provide should be in English. The translation of these terms and other documents provided on this service is for your information. In doubt, the English language version of this Agreement and other documents shall prevail.
